These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Guest," "Client," or "User") and Prime Haven LLC, a Limited Liability Company duly organized and existing under the New Mexico Limited Liability Company Act, NMSA 1978, §§ 53-19-1 et seq., with its principal place of business at 1209 Mountain Road Pl NE, Suite R, Albuquerque, New Mexico 87110, United States ("Prime Haven LLC," "we," "us," or "our").

These Terms shall be governed by and construed exclusively in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico for any disputes arising under or relating to these Terms.

2. Acceptance of Terms

By accessing our website, submitting an inquiry form, initiating a reservation deposit payment, or engaging with any Prime Haven LLC service, you represent that you are at least 18 years of age, legally competent to enter into binding agreements, and that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of our services.

3. Reservation Deposit Policy — Non-Refundable

3.1 Mandatory Deposit. All reservations with Prime Haven LLC require the payment of a non-refundable reservation deposit ("Deposit") of $500.00 USD (or such other amount as communicated at the time of booking) to secure access to any accommodation, wellness retreat, consulting package, or bespoke experience offered by Prime Haven LLC.

3.2 Non-Refundable Nature. The Deposit is strictly non-refundable under all circumstances, including but not limited to: Guest cancellation for any reason; natural disasters or acts of God (force majeure) not attributable to Prime Haven LLC; changes in personal circumstances, travel schedules, health conditions, or financial situations of the Guest; or any other reason whatsoever. The Deposit serves to reserve exclusive access to Prime Haven LLC resources, which are limited in availability.

3.3 Application of Deposit. Subject to the non-refundable nature of the Deposit, the amount paid shall be applied as a credit toward the Guest's total invoice for the reserved experience, provided the Guest fulfills all remaining payment obligations by the stated due date.

3.4 Cancellation & Rescheduling. Guests who wish to reschedule (not cancel) their reservation may request a one-time date change, subject to availability, no later than 21 calendar days prior to the original arrival date. Requests made within 21 days of arrival are treated as cancellations, and the Deposit is forfeited in full. Prime Haven LLC reserves the right, in its sole discretion, to decline rescheduling requests.

4. Payment Processing — Stripe Integration

4.1 Payment Processor. Prime Haven LLC uses Stripe, Inc. ("Stripe") as its third-party payment processor for all credit card and debit card transactions. By submitting your card details on our reservation interface, you authorize Prime Haven LLC and Stripe to process the stated Deposit amount immediately and irrevocably.

4.2 Data Security & PCI Compliance. Card payment data — including card numbers, expiration dates, and CVC codes — is transmitted directly to Stripe's infrastructure via end-to-end encrypted (TLS 1.3) connections. Stripe maintains PCI DSS Level 1 certification, the highest available standard. Prime Haven LLC does not store, log, process, or have access to full card numbers or security codes at any point in the transaction lifecycle.

4.3 Immediate Processing. You acknowledge and expressly agree that submission of your payment details initiates an immediate, real-time charge to your designated payment method. No grace period, hold period, or delayed processing applies to reservation deposits. The transaction is final upon submission.

4.4 Cardholder Authorization & Compliance. By submitting card details, you warrant that: (a) you are the authorized cardholder or have express written permission from the cardholder to use the payment method; (b) the transaction complies with your card-issuing bank's terms of service; and (c) you will not initiate a chargeback or dispute with your card issuer without first exhausting Prime Haven LLC's internal dispute resolution process as described in Section 9 of these Terms.

4.5 Stripe Terms of Service. By using our card payment facility, you additionally agree to Stripe's Stripe Connected Account Agreement and Privacy Policy, available at stripe.com/legal. Prime Haven LLC is not responsible for Stripe's actions or omissions in its capacity as a payment processor.

5. Bank Transfer Payments

Guests who elect to pay the reservation deposit via wire transfer or ACH bank transfer ("Bank Transfer") acknowledge that: (a) reservations are not confirmed until cleared funds are received in Prime Haven LLC's designated Mercury Bank account; (b) Prime Haven LLC bears no responsibility for delays, errors, or fees imposed by the Guest's or any intermediary financial institution; (c) the non-refundable nature of the Deposit applies equally to Bank Transfer payments; and (d) Bank Transfer payments are subject to anti-money-laundering (AML) compliance review and may be subject to delays pending verification.

6. Services Description & Limitation of Warranties

Prime Haven LLC provides luxury accommodation facilitation, wellness retreat coordination, and personal health consulting advisory services. Services are described in good faith; however, Prime Haven LLC does not warrant that any specific outcome, result, health improvement, or physical transformation will be achieved as a result of any wellness retreat or health consulting program. Health consulting services do not constitute medical advice and are not a substitute for professional medical diagnosis or treatment. Guests with pre-existing health conditions are advised to consult a licensed physician before participating in any physical wellness program.

7. Intellectual Property

All content on the Prime Haven LLC website and marketing materials — including text, photography, branding, logos, design elements, and program descriptions — is the exclusive intellectual property of Prime Haven LLC or its licensors, protected under applicable U.S. copyright, trademark, and intellectual property laws. Unauthorized reproduction, distribution, or commercial use without written consent is strictly prohibited.

8. Limitation of Liability

To the maximum extent permitted by applicable New Mexico law, Prime Haven LLC, its members, managers, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, personal injury, or property damage, arising from your use of or inability to use Prime Haven LLC's services, even if Prime Haven LLC has been advised of the possibility of such damages. Prime Haven LLC's total aggregate liability to any Guest shall not exceed the total amount paid by that Guest to Prime Haven LLC in the twelve (12) months preceding the claim.

9. Dispute Resolution

In the event of a dispute, Guest agrees to first contact Prime Haven LLC in writing at inquiries@primehavenllc.com and allow a minimum of 15 business days for Prime Haven LLC to investigate and respond before pursuing any external remedy. Unresolved disputes shall be subject to binding arbitration under the American Arbitration Association Commercial Arbitration Rules, conducted in Albuquerque, New Mexico. Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

10. Changes to These Terms

Prime Haven LLC reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered Guests. Continued use of our services after the effective date of any modification constitutes acceptance of the revised Terms.

Prime Haven LLC ("we," "us," or "our") is committed to protecting the privacy and personal information of all guests, clients, and website visitors ("you"). This Privacy Policy describes how we collect, use, disclose, and safeguard your personal information when you interact with our website, services, and communications. • Financial Data: Payment card details (processed and stored exclusively by Stripe, Inc.; Prime Haven LLC does not retain card data). Bank transfer reference information for ACH/wire verification purposes.
• Reservation Data: Selected experiences, preferred dates, special requests, stay history, and service preferences.
• Health & Wellness Data: Where voluntarily disclosed as part of a wellness consulting engagement, we may collect information about your health goals, dietary preferences, physical condition, and lifestyle information. This data is treated with the highest level of confidentiality.
• Technical Data: IP address, browser type, device identifiers, referring URLs, pages visited, and time-on-page data collected via standard server logs and analytics tools.
• Communication Data: Records of correspondence submitted via our inquiry form, email, or other communications channels.

3. How We Use Your Information

We use collected information for the following purposes:

• To process and confirm your reservation and associated payments;
• To communicate with you regarding your booking, including confirmation emails, pre-arrival information, and post-stay feedback;
• To deliver personalized wellness consulting and accommodation services;
• To comply with applicable legal and regulatory obligations, including AML and financial reporting requirements;
• To improve our website, services, and guest experience through aggregated analytics;
• To send you relevant service updates, promotional materials, and event information where you have provided consent to receive such communications;
• To investigate and resolve disputes, complaints, or legal claims.

4. Legal Basis for Processing

We process your personal information under the following legal bases: (a) Contract Performance — processing necessary to fulfill your reservation and service agreement; (b) Legitimate Interests — processing reasonably necessary to operate our business, improve our services, and protect against fraud; (c) Legal Obligation — processing required to comply with applicable laws and regulations; and (d) Consent — for marketing communications and optional data collection, which you may withdraw at any time.

5. Sharing & Disclosure of Information

Prime Haven LLC does not sell, rent, or trade your personal information to third parties for their independent marketing purposes. We may share your information with:

• Service Providers: Trusted third-party vendors who assist in operating our services, including Stripe, Inc. (payment processing), email service providers, and cloud hosting providers. All service providers are contractually bound to maintain the confidentiality and security of your data.
• Wellness Partners: With your explicit consent, we may share relevant health information with licensed wellness practitioners or medical-wellness advisors forming part of your bespoke consulting program.
• Legal Authorities: When required by law, court order, or governmental authority, or when necessary to protect the rights, property, or safety of Prime Haven LLC, its guests, or the public.
• Business Transfers: In the event of a merger, acquisition, or sale of all or substantially all of Prime Haven LLC's assets, your information may be transferred as part of the transaction, subject to equivalent privacy protections.

6. Stripe & Payment Data

All credit and debit card transactions are processed exclusively by Stripe, Inc., a PCI DSS Level 1 certified payment processor. When you submit card details through our reservation interface, that data is transmitted directly to Stripe via encrypted connection and is governed by Stripe's Privacy Policy (stripe.com/privacy). Prime Haven LLC does not receive, store, or have access to your complete card number, CVC, or expiration date. We receive only a tokenized transaction reference and the last four digits of your card number for record-keeping purposes.

7. Data Retention

We retain your personal information for as long as necessary to fulfill the purposes outlined in this Policy, including satisfying any legal, accounting, or reporting obligations. Reservation and payment records are retained for a minimum of seven (7) years in accordance with applicable tax and accounting regulations. Health and wellness data collected during consulting engagements is retained for a maximum of three (3) years following the conclusion of the engagement, unless a longer period is required by law or agreed upon in writing.

8. Data Security

Prime Haven LLC implements industry-standard technical and organizational security measures designed to protect your personal information against unauthorized access, alteration, disclosure, or destruction. These measures include SSL/TLS encryption for all data in transit, access controls limiting data access to authorized personnel on a need-to-know basis, and regular security reviews of our systems and practices. Notwithstanding the foregoing, no method of internet transmission or electronic storage is 100% secure, and Prime Haven LLC cannot guarantee absolute data security.

In the event of a data breach affecting your personal information, Prime Haven LLC will notify you in accordance with the New Mexico Data Breach Notification Act (NMSA 1978, § 57-12C-6), which requires notification within 45 days of discovery of a breach that poses a significant risk of harm.

9. Your Rights

You have the following rights with respect to your personal information held by Prime Haven LLC: the right to access and receive a copy of your personal data; the right to correct inaccurate or incomplete information; the right to request deletion of your data (subject to applicable legal retention requirements); the right to withdraw consent for marketing communications at any time; and the right to lodge a complaint with a relevant data protection authority. 10. Cookies & Tracking Technologies

Our website may use cookies and similar tracking technologies to enhance your browsing experience, analyze website traffic, and support our marketing activities. You may disable cookies through your browser settings; however, doing so may affect the functionality of certain website features.

11. Children's Privacy

Our services are intended solely for individuals aged 18 years and older. Prime Haven LLC does not knowingly collect personal information from individuals under the age of 18. If we become aware that a minor has provided personal information, we will take prompt steps to delete such information from our records.
